Governance around admission

This is all about board membership of Belgian public and private entreprises.


It is recommended for boards of directors to be composed of members from diverse professional backgrounds combining a broad spectrum of experience and expertise with a reputation for integrity.
All board members need to have experience in positions with a high degree of responsibility and have a proven ability to exercise mature business judgment.
All board members are required to be guided exclusively by the goals of the Board, and maintain independence of judgment, decision and action under all circumstances .
To adequately fulfill its responsibilities, the Board as a whole should possess the core competencies, and each member should be appointed on the basis of his/her potential contribution in terms of knowledge, experience and skills in one or more of the Board's competencies.
In order to ensure that our members qualify to sit on the board of directors of Belgian enterprises, the association Women on Board has defined a Core Competencies Profile.  Therefore, candidate members should ensure that their profile is in line with the requirements of the Core Competencies Profile. To that end:

  • Candidate members are willing to assess their personal board membership profile, with the help of the admission committee ;
  • The advice of the admission committee  on candidacies shall serve to support the board of directors’ decision on admission;
  • The decision on admission shall be solely based on objective criteria inspired by the  Core Competencies Profile;
  • Both the admission committee and the board of directors undertake to examine applications with empathy and from an objective and neutral viewpoint, in the sole interest of candidates of Women on Board;
  • Should a member of the admission committee or of the board of directors be in a conflict of interest situation in respect of a candidate, she (or he) will refrain from participating in the admission process.
